This Accelo Fair Use Policy (“FUP”) forms part of the Accelo Terms of Service and applies to Subscriber’s access to the Software under the Agreement. The aim of the FUP is to ensure the Accelo Software is used as intended and not in a way that devalues or impairs the Software. This policy is subject to periodic revision to reflect changes in the Accelo Software and associated services, customer behavior, prevailing market conditions, as well as changes in agreements Accelo may have in place with third-parties. It is recommended Subscriber check this policy for changes that may impact Subscriber’s access to the Software. Capitalized terms herein shall have the meanings set forth in the Accelo Terms of Service.
a. If Accelo believes Subscriber is in breach of the FUP, Accelo reserves the right to take any, or all, of the following actions:
(i) Make Subscriber aware of the breach and require Subscriber to take such action as reasonably directed to promptly remedy the situation.
(ii) Suspend Subscriber’s and its Users’ access to the Software until such time Subscriber is compliant with the terms of this policy.
(iii) Increase the Subscription Fee, subject to conferral and agreement between Subscriber and Accelo, commensurate with the additional demands Subscriber is placing on the Software.
b. If Subscriber continually fails to comply with the requirements of this policy and/or comply with the measures set out above, Accelo reserves the right to terminate Subscriber’s and its Users’ access to the Software and terminate the Agreement.
a. For the benefit of all users of the Software it is important Subscriber only make fair and reasonable use of the API.
b. Use of the API must be limited to a reasonable number of concurrent API calls and must allow an appropriate wait time for completion of these requests before submission of further API calls.
c. In the event any of Subscriber’s API calls fail or return errors, Subscriber must immediately notify Accelo and reduce Subscriber’s API usage until the issue resolves.
d. Accelo reserves the right from time-to-time to specify a maximum number of API calls in a given period, which Subscriber will be required to adhere to.
e. Limits are currently set at:
(i) for a Subscriber with an Integration package
- 5 million integration tasks per year
- 1,000 API calls per User per month
(ii) for a Subscriber without an Integration package
- 1,000 Accelo API calls per User per month
a. This Section 4 governs Subscriber's use of the Software through an AI Connector - meaning a connection between the Software and a third-party AI assistant (such as Anthropic's Claude, OpenAI's ChatGPT, or a similar tool) using the Model Context Protocol (MCP) or a comparable integration standard.
b. As of the date of this Policy, Accelo does not impose a specific numeric limit on the volume of AI Connector tool calls. This reflects the current state of the Services and may change. Accelo reserves the right to introduce specific volume limits, rate limits, or fair-use thresholds for AI Connector usage in the future, consistent with Section 1.
c. Notwithstanding paragraph (b), Subscriber's use of an AI Connector remains subject to the general obligation of fair and reasonable use described in Section 1, and to the consequences described in Section 2. Patterns of AI Connector usage that are abusive, that materially degrade the performance of the Software for other users, or that are inconsistent with the intended use of the Software may be treated as a breach of this Policy even in the absence of a specific numeric limit.
